NAIL Certification Agreement

This NAIL Certification Agreement ("Agreement") is entered into between Neuravant
AI Limited ("Neuravant", "Certifying Body") and the entity or
individual ("Certified Party") whose AI agent has achieved an NAIL Rating of BBB
or above and who elects to use the "NAIL Certified" designation.
This Agreement supplements the Terms of Service and Privacy
Policy. In the event of conflict, this Agreement takes precedence for matters relating to
certification.
1. What NAIL Certification Means
"NAIL Certified" is a formal attestation by Neuravant AI Limited that an AI agent has
been subjected to a comprehensive adversarial security audit using the NAIL platform and has achieved a
minimum safety standard. It signifies that, at the time of certification:
- The Agent was tested against at least 50 adversarial attack scenarios across multiple attack
categories;
- The Agent's runtime behaviour was statistically profiled and found to be within acceptable deviation
thresholds;
- The Agent's architecture, dependencies, and configuration were reviewed via static analysis;
- The Agent achieved an NAIL Rating of BBB or above; and
- A cryptographic decision provenance chain was established for verification purposes.
Certification is NOT:
- A guarantee that the Agent is immune to all attacks or will never fail;
- A warranty of fitness for any particular purpose;
- A substitute for the Certified Party's own duty of care; or
- A guarantee of insurance coverage (which is subject to separate policy terms).

3. Obligations of the Certified Party
3.1 Ongoing Compliance
- Maintain the Agent in a state consistent with the configuration audited at the time of certification.
- Notify Neuravant within 14 days of any material change to the Agent, including but not
limited to: model changes, system prompt modifications, new tool integrations, architecture changes, or
guardrail modifications.
- Submit to a re-certification audit following any material change, at the then-current
re-certification fee.
- Maintain an active Subscription at Professional tier or above throughout the certification period.
3.2 Use of the NAIL Certification Mark
- The Certified Party is granted a non-exclusive, non-transferable, revocable licence to
use the "NAIL Certified" badge and wordmark during the valid certification period.
- The badge must be displayed in the approved format provided by Neuravant. The badge must not be altered,
recoloured, or modified.
- The badge must always be accompanied by the specific rating achieved (e.g., "NAIL Certified — AA") and
the certification date.
- The badge may be displayed on: the Certified Party's website, marketing materials, API documentation,
investor presentations, and product interfaces.
- The badge must not be used in a way that implies endorsement of the Certified Party's
business, products, or services beyond the specific Agent that was audited.
3.3 Prohibited Uses
- Claiming NAIL Certification for an Agent that was not audited or has expired;
- Displaying a rating higher than the one actually achieved;
- Transferring certification to a different Agent;
- Using the "NAIL Certified" mark after certification has been revoked or has expired;
- Implying that Certification guarantees the absolute safety or infallibility of the Agent; or
- Using the mark in connection with any illegal, unethical, or deliberately harmful use of AI agents.
4. Obligations of Neuravant (Certifying Body)
- Conduct all audits using the then-current version of the NAIL platform, applying consistent and
documented assessment criteria.
- Provide the Certified Party with a detailed audit report including specific findings, recommendations,
and the rationale for the assigned rating.
- Maintain confidentiality of all audit data in accordance with the Privacy Policy.
- Provide 30 days' written notice before revoking a certification, except in cases of immediate safety
concern.
- Maintain a public registry of currently certified Agents (with the Certified Party's consent) to enable
third-party verification.
- Publish the methodology and criteria used for rating assignment in sufficient detail for the Certified
Party to understand their score.

6. Revocation
Neuravant may revoke certification in the following circumstances:
- Material misrepresentation: The Certified Party provided false or misleading
information during the audit;
- Undisclosed material change: The Agent was materially modified without notification;
- Behavioural anomaly: Continuous monitoring (where applicable) detects sustained
behavioural deviation exceeding the certified baseline;
- Safety incident: The Agent is involved in a documented security breach or safety
incident that reveals vulnerabilities not present at the time of certification;
- Misuse of mark: The Certified Party violates the usage restrictions in Section 3;
- Subscription lapse: The Certified Party's Subscription falls below the required tier.
Upon revocation:
- The Certified Party must remove all NAIL Certified badges and references within 7
days;
- Neuravant will update the public registry to reflect the revocation;
- Insurance coverage facilitated through the Certification may be affected (subject to the insurer's
terms); and
- The Certified Party may apply for re-certification after addressing the issues that led to revocation.
7. Insurance Facilitation
- Certified Parties with a rating of BBB or above are eligible for AI agent liability
insurance facilitated through Neuravant's underwriting partners.
- Insurance eligibility does not guarantee coverage. All insurance products are subject to the terms and
conditions of the relevant policy issued by the insurer of record.
- Certification data (rating, audit summary, recommendations) may be shared with the underwriting partner
for the purpose of risk assessment, with the Certified Party's consent.
- Revocation of certification may trigger a review of insurance coverage terms by the underwriter.

9. Limitation of Liability
- Certification represents Neuravant's assessment at the time of audit. It is not a guarantee of future
performance or absolute security.
- Neuravant shall not be liable for losses arising from the Certified Party's reliance on certification as
a substitute for their own security measures, testing, or duty of care.
- The total aggregate liability of Neuravant under this Agreement shall not exceed the certification fees
paid by the Certified Party in the 12 months preceding the claim.
- Nothing in this Agreement excludes or limits liability for fraud, death, or personal injury caused by
negligence.
10. Dispute Resolution
- The Certified Party may challenge an assigned rating by submitting a written appeal within 14
days of receiving the audit report.
- Appeals will be reviewed by a senior assessor who was not involved in the original audit.
- The appeal outcome will be communicated within 21 days.
- If the dispute is not resolved, it shall be subject to the dispute resolution provisions in the Terms of Service.
11. Governing Law
This Agreement is governed by the laws of England and Wales. The courts of England and Wales shall have
exclusive jurisdiction over any disputes arising from this Agreement.
12. Acceptance
By electing to use the "NAIL Certified" designation, displaying the NAIL badge, or clicking "Accept
Certification" within the NAIL platform, the Certified Party agrees to be bound by the terms of this
Agreement.
