Terms of Service

These Terms of Service ("Terms") govern your access to and use of the NAIL platform, APIs, documentation, and related services (collectively, the "Service") operated by Neuravant AI Limited, a company registered in England and Wales ("Neuravant", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

1. Definitions

• "Agent" means any autonomous or semi-autonomous AI software system submitted for audit, certification, or monitoring through the Service.
• "Audit" means the adversarial security assessment performed by the NAIL platform against a submitted Agent.
• "NAIL Rating" means the safety rating (AAA–D) assigned to an Agent following a completed Audit.
• "Certification" means the formal attestation that an Agent has achieved a minimum NAIL Rating and is governed by the separate Certification Agreement.
• "Customer" or "you" means the individual or entity accessing the Service.
• "Subscription" means the paid plan under which you access the Service.

2. Service Description

The Service provides:

1. Adversarial security auditing of AI agents;
2. Static repository analysis (Repo Analyser);
3. Behavioural fingerprinting and continuous monitoring;
4. Causal forensic analysis of agent incidents;
5. Adversarial wargaming simulations;
6. Cryptographic decision provenance logging;
7. Safety certification and NAIL Rating assignment; and
8. Insurance facilitation through approved underwriting partners.

3. Account Registration

• You must provide accurate, complete registration information and keep it current.
• You are responsible for all activity under your account and for maintaining the confidentiality of your credentials.
• You must notify us immediately of any unauthorised use of your account.
• You must be at least 18 years of age to create an account.

4. Subscriptions and Payment

• The Service is offered under tiered Subscriptions: Standard, Professional, and Enterprise.
• Subscription fees are charged monthly or annually in advance via Stripe.
• All fees are quoted in GBP (£) and are exclusive of VAT unless stated otherwise.
• We reserve the right to change pricing with 30 days' written notice.
• Failure to pay may result in suspension or termination of your Subscription.
• Refunds are available within 14 days of initial purchase if no Audit has been initiated.

5. Acceptable Use

You agree not to:

• Use the Service to develop, train, or improve competing products;
• Reverse-engineer, decompile, or disassemble any part of the Service;
• Attempt to bypass security measures, rate limits, or access controls;
• Submit Agents containing malware, ransomware, or deliberate exploits;
• Misrepresent your NAIL Rating or Certification status;
• Share, transfer, or sublicense your account credentials; or
• Use the Service in violation of any applicable law or regulation.

6. Intellectual Property

• Our IP: The Service, including all algorithms, models, scoring methodologies, frontier technology modules, and documentation, is the exclusive property of Neuravant AI Limited. Patent applications pending (UK IPO 2026).
• Your IP: You retain all rights to your Agents, source code, and data. We do not claim ownership of any content you submit.
• Licence Grant: You grant us a limited, non-exclusive licence to access and analyse your Agent and its outputs solely for the purpose of providing the Service.
• Feedback: Any suggestions or feedback you provide may be used by us without obligation to you.

7. Data Handling

• Your data is processed in accordance with our Privacy Policy.
• Audit results, telemetry data, and provenance chains are stored securely and encrypted at rest.
• We may generate anonymised, aggregated statistics from Audit data to improve the Service and publish industry research. No individual Customer or Agent is identifiable in such statistics.
• You may request deletion of your data at any time by contacting us.

8. Audit Reports and Ratings

• Audit reports and NAIL Ratings represent our assessment at the time of the Audit and are not guarantees of absolute security.
• Ratings are valid for 12 months from issuance, or until the Agent undergoes a material change (whichever is sooner).
• We reserve the right to revoke or downgrade a Rating if we become aware of material changes not disclosed to us.
• You may display your NAIL Rating badge on your own materials subject to the Certification Agreement.

9. Insurance Products

• Insurance products facilitated through the Service are underwritten by third-party insurance providers, not by Neuravant AI Limited.
• Neuravant acts as a technology provider and, where applicable, a Managing General Agent (MGA). The insurer of record is identified in each policy document.
• Insurance coverage is subject to the terms, conditions, and exclusions of the relevant policy.
• We do not guarantee the availability, pricing, or terms of insurance coverage.

10. Limitation of Liability

• To the maximum extent permitted by law, Neuravant's total aggregate liability under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim.
• We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.
• The Service is provided "as is" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Nothing in these Terms excludes or limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Neuravant, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service;
• Your breach of these Terms;
• Your Agent's actions or failures in production; or
• Your misrepresentation of Certification status or NAIL Rating.

12. Term and Termination

• These Terms remain effective until terminated by either party.
• You may cancel your Subscription at any time. Cancellation takes effect at the end of the current billing period.
• We may suspend or terminate your access immediately if you breach these Terms or engage in conduct that we reasonably believe is harmful to the Service or other users.
• Upon termination, your right to access the Service ceases. You may request export of your data within 30 days of termination.
• Sections 6, 7, 10, 11, 14, and 15 survive termination.

13. Modifications

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

• These Terms are governed by the laws of England and Wales.
• Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
• Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

15. General

• Entire Agreement: These Terms, together with the Privacy Policy and (if applicable) the Certification Agreement, constitute the entire agreement between you and Neuravant regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
